• "Site" refers to a single WordPress installation on a unique domain or subdomain.

• "Upgrade" refers to major new versions of the Software with significant new features.

2. License Grant

Subject to these Terms and your payment of the applicable license fee, we grant you a limited, non-exclusive, non-transferable license to:

• Install and use the Software on the number of Sites permitted by your license type
• Make one backup copy of the Software for archival purposes
• Use the Software to create opt-in pages and capture leads for your legitimate business purposes

The license is granted to the original purchaser only and may not be transferred, sold, or assigned to any third party without our prior written consent.

3. License Types

We offer the following license types:

Site Counting

• Each unique domain or subdomain counts as one Site
• Development and staging sites on subdomains (e.g., dev.example.com, staging.example.com) count toward your site limit
• Localhost installations for development purposes do not count toward your limit
• Multisite/Network installations: each site in the network counts as one Site

Client Use (Agency License)

Agency license holders may install the Software on client websites, but:

• You must maintain an active business relationship with the client
• You may not resell the Software or license keys
• Each client site counts as usage under your license

4. Restrictions

You may NOT:

• Redistribute: Share, distribute, sublicense, or provide the Software to any third party who has not purchased their own license
• Resell: Sell, lease, or rent the Software or license keys
• Modify for Distribution: Create derivative works based on the Software for distribution or sale
• Remove Attribution: Remove, alter, or obscure any copyright notices, trademarks, or proprietary notices
• Circumvent Licensing: Attempt to bypass, disable, or circumvent any license verification or protection mechanisms
• Reverse Engineer: Reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law
• Illegal Use: Use the Software for any illegal purpose or in violation of any applicable laws

5. Updates and Support

Software Updates

All licenses include lifetime updates at no additional cost. Updates include:

• Bug fixes and security patches
• Compatibility updates for new WordPress versions
• Performance improvements
• Minor feature enhancements

Updates are provided through the WordPress admin dashboard when your license is activated.

Technical Support

Support is provided for the period specified by your license type:

• Support is provided via our ticket system
• Support covers installation, configuration, and troubleshooting issues
• Support does not include customization, third-party conflicts, or general WordPress assistance
• Priority support includes faster response times and direct assistance

After your support period expires, you may purchase a support extension or access community resources.

6. Payment and Refunds

Payment

All purchases are processed through Warrior Plus, our authorized payment processor. By completing a purchase:

• You agree to Warrior Plus's terms of service
• You authorize the charge to your selected payment method
• Prices are in US dollars unless otherwise stated

• Upon refund, your license will be deactivated

7. Intellectual Property

The Software, including all code, design, documentation, and associated materials, is the exclusive property of SitePlot Media LLC and is protected by copyright, trademark, and other intellectual property laws.

Your purchase grants you a license to use the Software, not ownership of the Software itself. All rights not expressly granted in these Terms are reserved by us.

Your Content

You retain all rights to:

• Content you create using the Software
• Leads and data captured through your opt-in pages
• Customizations you make within the Software's settings

8. Warranties and Disclaimers

Limited Warranty

We warrant that:

• The Software will perform substantially as described in its documentation
• The Software does not contain any intentional malware, viruses, or malicious code
• We have the right to grant you the license described in these Terms

Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF RESULTS

We do not warrant that the Software will be error-free, uninterrupted, or compatible with all WordPress themes, plugins, or hosting environments.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.
• WE SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless SitePlot Media LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of these Terms
• Your violation of any rights of any third party
• Content you create or collect using the Software
• Your failure to comply with applicable laws, including data protection laws

11. Termination

Termination by You

You may terminate your license at any time by uninstalling the Software from all sites and destroying all copies in your possession.

Termination by Us

We may terminate your license immediately if:

• You breach any provision of these Terms
• You engage in fraudulent activity related to the Software
• You distribute the Software without authorization
• You attempt to circumvent licensing mechanisms

Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must uninstall the Software from all sites
• You must destroy all copies of the Software
• Sections 7-12 of these Terms survive termination

12. General Provisions

Governing Law

These Terms are governed by the laws of the State of Alabama, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Mobile, Alabama, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Software and supersede all prior agreements and understandings.

Amendments

We may modify these Terms at any time by posting updated terms on our website. Continued use of the Software after such modifications constitutes acceptance of the updated terms.

No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it later.

Assignment

You may not assign or transfer your license without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
